Terms and Conditions

1. Scope

These Terms and Conditions apply to all contracts between Mert Yagci, Gustav-Adolf-Str. 42B, 63069 Offenbach am Main (hereinafter “Contractor”) and the respective client for software development and IT services.

Deviating terms of the client apply only if expressly confirmed in writing by the Contractor.

2. Subject matter

The subject of the contract is the services described in the respective offer. The exact scope follows from that offer and any written agreements between the parties.

3. Remuneration

Remuneration follows the agreed offer. All prices are exclusive of applicable statutory VAT unless stated otherwise.

4. Payment terms

Invoices are payable within the period stated on the invoice without deduction.

5. Changes to services

Changes or extensions to the agreed services require a separate agreement and may incur additional costs.

6. Acceptance

After completion of the agreed services, the client performs acceptance. If no justified defect notice is given within 7 days after delivery, the services are deemed accepted.

7. Warranty

The Contractor will remedy defects within the statutory warranty insofar as they result from the services provided.

8. Liability

The Contractor is liable only for damage caused by intent or gross negligence. Liability for indirect damage, consequential damage or lost profit is excluded to the extent permitted by law.

9. Support

Support is provided only if expressly agreed in the offer.

10. Final provisions

The law of the Federal Republic of Germany applies.

The place of jurisdiction for all disputes arising from this contractual relationship is Offenbach am Main, where legally permitted.
